Ayeye Ambassador Programme – Terms & Conditions

These Terms & Conditions (“Terms”) govern your participation in the Ayeye Ambassador Programme (“Programme”). By applying to become an Ayeye Ambassador (“Agent”) and/or by participating in the Programme, you agree to be bound by these Terms.

You must submit a full application and pay the required application fee.
Acceptance into the Programme is at Ayeye’s sole discretion.
If your application is not successful, your application fee will be refunded immediately in full.
No credit checks will be performed.

3. Representation of the Ayeye Brand

Agents agree to represent Ayeye professionally, ethically, and accurately at all times.
You must not make false, misleading, or unapproved claims about Ayeye, its products, or its services
You agree not to engage in any behaviour that may reasonably damage Ayeye’s brand, reputation, or commercial interests.

4. Negative Reviews, Feedback & Complaints

Agents must notify Ayeye of any complaints, negative feedback, or online reviews relating to their clients.
Ayeye reserves the right to communicate directly with such clients to resolve issues.
Where negative feedback results from an Agent’s misconduct, breach of these Terms, or misrepresentation, Ayeye may take corrective action including termination of the agreement.

5. Commission Structure

For every new Client who signs up using your unique Agent code:
  • Your first successfully paying client results in 100% of their first month’s fee being paid to you.

Thereafter, you will receive 30% of all monthly subscription fees generated from clients who use your Agent code when subscribing.

Commission is paid monthly in arrears.

Commission is only payable where a client:

  •     has subscribed using your unique Agent code; and
  •     remains in good financial standing.
Ayeye cannot be held liable for clients who subscribe without using your code, or who enter incorrect details.

6. Access to Ayeye Services

While you remain an active Agent under this Programme, you will receive:

  •     lifetime access to the Ayeye app, and
  •     access to seminars and training relevant to the Programme.

If you leave the Programme or your agreement is terminated, all access will be revoked immediately.

7. Prohibited Activities

You must not share, distribute, or publish any login details, training materials, course content, or copyrighted media provided by Ayeye.
Content may only be used for your own professional use within the Programme.
Any unauthorised sharing will result in immediate termination and may lead to legal action.

8. Non-Compete Clause

During your time as an Agent, and for 12 months after termination, you agree not to:

  • create, promote, or work for any business that competes directly with Ayeye’s AI education, subscription, or seminar services;
  • offer AI ling materials, AI memberships, or training substantially similar to Ayeye’s products.

This restriction applies within the United Kingdom and exists to protect Ayeye’s intellectual property and commercial interests.

9. Territorial Respect & Agent-to-Agent Conduct

To maintain fairness and avoid internal competition, Agents agree not to actively market or promote Ayeye services within the immediate local area of any other known Ayeye Agent, unless both parties mutually agree.

 “Actively market” includes, but is not limited to:

  • targeted advertising within another Agent’s local radius,
  • in-person canvassing or outreach in another Agent’s territory,
  • approaching individuals or businesses already associated with another Agent.

Ayeye reserves the right to define, clarify, or adjust territorial boundaries as necessary.

Violation of territorial guidelines may result in warnings, removal of affected clients from your account, or termination of your Ambassador agreement.

10. Termination

Ayeye’s right to terminate

Ayeye may terminate your participation immediately if you:

  • breach any of these Terms
  • Third-party service failures (hosting, harm or risk harming Ayeye’s brand or reputation; email, payments, telecoms)
  • misuse Ayeye resources or intellectual property
  • act dishonestly, fraudulently, or unethically
  • violate territorial or non-compete obligations.

Upon termination, all access to Ayeye platforms, materials, and training will cease immediately.

Your right to terminate

You may leave the Programme at any time by providing 30 days’ written notice.

Any commissions owed up to your final day of participation will be paid in the next scheduled payment cycle.

11. Intellectual Property

All content, branding, materials, training resources, and digital assets provided by Ayeye remain the exclusive property of Ayeye.

Agents receive a limited, non-transferable, revocable licence to use materials solely for Programme-related activities.

Any unauthorised reproduction, distribution, or modification is strictly prohibited.

12. Liability

 Ayeye is not liable for any loss of income, opportunities, or damages arising from:

Nothing in these Terms limits liability for death or personal injury caused by negligence, or any other liability which cannot legally be excluded under UK law.

13. Data Protection & Privacy

Agents must comply with all applicable UK data protection laws, including UK GDPR.

Client data must only be used in accordance with Ayeye guidelines and may not be stored, shared, or repurposed without permission.

14. Amendments

Ayeye may update, revise, or amend these Terms from time to time

Agents will be notified of any material changes, and continued participation constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England & Wales.
Any disputes will fall under the exclusive jurisdiction of the courts of England & Wales.

16. Acceptance

By applying to the Programme and/or acting as an Ayeye Ambassador/Agent, you confirm that you have read, understood, and agree to these Terms & Conditions.
