These Website Terms of Use (Terms) explain the rules for using the Website. By using the Website you confirm that you accept these Terms. If you do not agree, please do not use the Website.
These Terms only cover your use of the Website. If you buy any services, those services are covered by separate terms, in particular our Client Terms of Service and our Purchase, Cancellation and Refund Policy. Our Privacy Policy, Cookie Policy and Intellectual Property Policy also apply to your use of the Website.
We may update these Terms from time to time. Please check this page whenever you use the Website. The date at the top shows when they were last changed.
AYEYE operates a franchise network. Most AYEYE services (including the free AI Business Audit and the automation services that follow it) are sold and delivered by independent franchisees. Each franchisee owns and runs its own separate business, normally through its own limited company, and uses the AYEYE name, systems and technology under a licence from us.
When you deal with a franchisee, your contract for services is with that franchisee’s business, not with Cyvora Ltd, unless we tell you otherwise in writing. Your quotation, order confirmation or invoice will show the name of the business you are contracting with.
Franchisees are not our employees, agents or partners, and they have no authority to make promises or enter into contracts on our behalf. Please see our Franchise Network and Independence Notice for more detail.
We make the Website available free of charge for general information. We do not guarantee that the Website, or any content on it, will always be available or uninterrupted. We may suspend, withdraw or change any part of the Website for business or operational reasons.
You must not misuse the Website. In particular, you must not:
Breaching paragraph 4.2 may be a criminal offence under the Computer Misuse Act 1990. We may report any such breach to the relevant authorities and co-operate with them.
If you are given a login for portal.ayeye.co.uk or the AYEYE app, you must keep your login details confidential and must not share them. You are responsible for activity carried out under your login.
Please tell us straight away at support@ayeye.co.uk if you think someone else knows your login details.
We may disable any login if we reasonably believe you have not complied with these Terms.
The content on the Website, including blog articles, examples, audit scores, illustrations of potential time or cost savings and example prices, is provided for general information only. It is not professional, legal, financial or technical advice, and you should not rely on it as such.
Any figures shown (including example service prices and example savings or earnings) are illustrative. Actual prices are confirmed in your quotation, and actual results vary from business to business.
Although we take reasonable care to keep the Website accurate and up to date, we do not promise that all content is complete, accurate or current.
The Website may link to other websites and services, such as social media platforms, app stores, booking tools (for example Calendly) and other providers. These links are provided for convenience only. We have no control over those websites and are not responsible for their content, availability or privacy practices.
We own, or are licensed to use, all intellectual property rights in the Website and its content, including the AYEYE name and logo, the AYEYE AI Business Auditing Platform, software, designs, text and graphics. You may view and print pages for your own reference, but you must not otherwise copy, adapt or use any of it commercially without our written permission. See our Intellectual Property Policy for more detail.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
If you are a business user: to the extent permitted by law, we exclude all conditions, warranties and representations that might otherwise apply to the Website or its content. We will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss or damage arising from your use of, or inability to use, the Website or reliance on its content, including loss of profits, sales, business, revenue, data, goodwill or anticipated savings, or any indirect or consequential loss.
If you are a consumer: we only provide the Website for domestic and private use. We are not liable for any loss of profit, loss of business, business interruption or loss of business opportunity. We are responsible for foreseeable loss and damage caused by our failure to use reasonable care and skill, but not for loss or damage that was not foreseeable. Nothing in these Terms affects your legal rights as a consumer.
We are not responsible for the acts, omissions, advice, products or services of any AYEYE franchisee. Any claim relating to services supplied by a franchisee should be made against that franchisee’s business.
We are not liable for any loss or damage caused by a virus, denial-of-service attack or other technologically harmful material that may affect your device, data or software because of your use of the Website. Please use your own virus protection software.
If any part of these Terms is found to be unenforceable, the rest will remain in effect.
If we do not insist on any of these Terms straight away, we can still enforce them later.
These Terms are governed by the law of England and Wales. Any dispute relating to them will be dealt with by the courts of England and Wales, except that if you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
